Casafari API and MCP Platform: Terms of Use

Version 1.0 - effective 14 October 2026

These Terms of Use ("Terms") govern the Casafari API and MCP Platform at platform.casafari.com — the accounts, the console, the Casafari API, the Casafari MCP servers and the data products made available through them (the "Platform") — and the developer documentation at developers.casafari.com (the "Documentation"). You accept these Terms when you open an Account, as described in clause 4. Reading the Documentation is subject to clause 14 only.

The Platform and the Documentation are separate from www.casafari.com and from Casafari's other services. The casafari.com Terms of Use and Casafari's Terms and Conditions for subscription of Services do not apply to the Platform or the Documentation. These Terms are the complete agreement for them.

1. Who we are

1.1 The Platform and the Documentation are operated, and the service is sold and invoiced, by CASAFARI SPAIN SL, a company incorporated in Spain, tax identification number (NIF) B10567162, with registered office at Avenida Doctor Arce, nº 14, Bajo, 28002 Madrid, España ("Casafari", "we", "us", "our"). Casafari is part of the Casafari group, meaning Casafari Europe Ltd and the companies it controls.

1.2 Contact: for support and for legal notices, write to Casafari at the registered office in clause 1.1.

1.3 The Platform is a self-serve way to obtain Casafari data by machine: through a REST API from your own software, or through MCP servers from AI assistants that act on your behalf.

2. Definitions

2.1 "Account" means the Platform account opened under clause 4. An Account belongs to an Organisation or, where opened with a personal email address or a personal account with a sign-in provider, to an individual acting in their business or profession (shown on the Platform as a "Personal" account).

2.2 "Organisation" means a company, firm or other entity that holds an Account and has one or more Members.

2.3 "Member" means a person added to an Account with a role (owner, admin, developer or billing).

2.4 "Credentials" means the API keys, OAuth clients and OAuth sign-ins for Connected Apps issued to an Account.

2.5 "Connected App" means an AI assistant (for example Claude or ChatGPT) or other application that you authorise, through OAuth sign-in, to call the Platform on your behalf.

2.6 "Products" means the data products available through the Platform:

(a) Locations (place lookup), available over the API and MCP; (b) Area Insights (market statistics), available over the API and MCP; (c) Comparables (comparable properties), available over the API and MCP; (d) Property Sourcing (search for properties), available over the API only; (e) High Potential Seller Leads (leads of likely sellers in Spain, France, Italy, Germany, Greece and Andorra), available over the API only; (f) Alerts (feeds of new and changed listings, delivered by webhook), available over the API only; and (g) AgentGraph AI (professional data about real estate agents and agencies in Germany), available over MCP only and to verified businesses only (clause 13).

The Platform covers 16 markets; the markets available for each Product are listed in the Documentation. Casafari's Transactions data is not part of any self-serve Plan.

2.7 "Results" means the data, statistics, listings, identifiers and other content the Platform returns in response to a call, including Alerts delivered by webhook.

2.8 "Unit" means the metering unit in which Platform usage is counted. Each operation costs the number of Units published in the Documentation at the time of the call. Some operations are charged per row returned, as published in the Documentation: the call sets aside Units for the most rows it may return and is charged only for the rows actually returned.

2.9 "Credits" means prepaid Units purchased under clause 8.

2.10 "Plan" means Free, Agent or Custom, as described in clause 7.

2.11 "Storage Period" has the meaning in clause 12.

2.12 "Payment Link" means the link to a Casafari payment page described in clause 9.6.

3. Business use only

3.1 The Platform is offered only to persons acting in the course of their trade, business, craft or profession, including sole traders, freelancers, developers and analysts acting professionally. By opening an Account you confirm that you are such a person and that you are not acting as a consumer.

3.2 An Account opened with a personal email address or a personal account with a sign-in provider is labelled "Personal" for convenience only. It is a business Account and clause 3.1 applies to it.

3.3 Because the Platform is business-only, prices are shown excluding VAT, there is no right of withdrawal, and the cancellation, refund and liability rules in these Terms apply as written. If we learn that an Account is being used by a consumer, we may close it under clause 19.3 and refund any unused prepaid amount.

3.4 Nothing in these Terms limits rights that a person who is in fact a consumer has under law that cannot be excluded by agreement.

4. Opening an Account and accepting these Terms

4.1 Eligibility. You must be at least 18 years old. If you open an Account for an Organisation you confirm that you are authorised to bind it, and "you" in these Terms means the Organisation.

4.2 How an Account is opened. You open an Account either (a) by entering your email address, receiving a 6-digit code from us by email and entering that code on the Platform — the code is valid for 10 minutes and allows up to 5 attempts; (b) by signing in with a Google account; or (c) by signing in with another sign-in provider the Platform offers (Microsoft work or school accounts, or GitHub). Where a sign-in provider does not confirm to us that it has verified your email address, we send a code to that address and you must enter it before the Account is opened.

4.3 Acceptance. You accept these Terms, and the Privacy Notice referred to in clause 20 is brought to your attention, when you complete sign-up: that is, when you enter the 6-digit code we emailed to you, or when you complete sign-in with Google or with another sign-in provider the Platform offers, having been told on the sign-up page and in the code email that doing so opens the Account and accepts these Terms. Completing sign-up by any of these methods is acceptance. We record the version of the Terms accepted and the date and time of acceptance as evidence of the contract.

4.4 Sign-up started by an AI assistant. An AI assistant or other software may start the sign-up for you through the API. The Account is not opened, and these Terms are not accepted, until you personally receive the 6-digit code by email and enter it within its 10-minute validity. The code email names the software that asked for the sign-up. The Account belongs to you (or your Organisation), not to the assistant or its provider. By entering the code you confirm that you asked the assistant to start the sign-up for you and that clause 3 applies to you. If the email address already belongs to a user of the Platform, completing the sign-up issues a new API key for the first Account of which that user is an owner; no second Account is opened and no second Free allowance is granted.

4.5 Information about electronic contracting. The steps to conclude the contract are: enter your email address or choose a sign-in provider; receive and enter the code or complete the provider sign-in. Before entering the code you can correct your email address by starting again. The contract is concluded in English. We keep a record of your acceptance (version, date and time) for the period stated in the Privacy Notice; the text of each version of the Terms is available on request (clause 1.2).

4.6 Accurate information. You must give us accurate Account, contact and billing information and keep it up to date.

4.7 Business verification. Access to AgentGraph AI requires business verification under clause 13. We may also ask for verification where we have reason to believe an Account is not being used as declared.

5. Organisations, Members and Credentials

5.1 An Organisation's owner controls the Account. Members have the permissions of their role. An Account always has at least one owner; the last owner cannot leave or be demoted without first appointing another owner. Invitations to join an Account are sent by email and are valid for 7 days; accepting one requires signing in with the invited email address. The Organisation is responsible for everything its Members do on the Platform and for removing Members who should no longer have access.

5.2 Credentials are confidential. You are responsible for keeping them secret and for all calls made with them, whether or not you authorised each call. You must tell us at once (clause 1.2) if you believe a Credential has been exposed, and you can revoke it yourself on the Platform. API keys belong to the Account, not to the Member who created them: removing a Member does not revoke the keys that Member created, and an owner or admin should revoke them if they should no longer be used. Removing a Member does revoke that Member's Connected App authorisations for the Account.

5.3 You may not share Credentials with anyone outside your Account, sell or lend access, or use Credentials belonging to someone else. Member, API-key and OAuth-client limits for your Plan are in clause 7.

6. Connected Apps and AI assistants

6.1 You may authorise a Connected App to call the Platform on your behalf through OAuth sign-in. A Connected App acts as your agent: calls it makes are your calls, Units it uses are your Units, and Results it receives are delivered to you.

6.2 You are responsible for choosing and configuring Connected Apps, for the instructions you give them, and for what they do with Results, including anything they store, summarise, generate or send on. You should read the Connected App provider's own terms and privacy policy; we are not a party to them and are not responsible for the provider.

6.3 Passing Results to a Connected App that you have authorised under this clause is not a redistribution prohibited by clause 11. Passing Results, directly or through a Connected App, to any other third party is, except as clause 11.4 allows.

6.4 Nothing in these Terms gives a Connected App provider any right to use Results for its own purposes. Whether a provider does so is governed by your agreement with that provider; you must not authorise a provider to use Results to train or improve AI models (clause 11.3(b)).

6.5 You may revoke a Connected App's access at any time on the Platform. We may revoke it where we reasonably believe the app is being used in breach of these Terms.

7. Plans and usage

7.1 Free. A new Account receives 1,000 Units to use within 30 days of opening, without a payment card. When the 30 days end (or the Units are used up, if earlier), place lookups and the account status check remain free; other calls return a Payment Link (clause 9.6) to upgrade or to buy Credits instead of Results. A Free Account has 1 Member, 2 API keys and 2 OAuth clients, is limited to 10 distinct places per day, and is subject to the other request limits published in the Documentation.

7.2 Agent. Agent is a subscription at EUR 70 per month or EUR 588 per year paid upfront (equivalent to EUR 49 per month), excluding VAT (clause 9.3). It includes usage windows of 1,000 Units per rolling 3 hours and 4,000 Units per rolling 7 days, up to 3 Members, 5 API keys and 5 OAuth clients, and up to 50 distinct places per day, and is subject to the other request limits published in the Documentation. Usage above a window is paid only from Credits (clause 8.4).

7.3 Custom. Custom is a separately negotiated contract with agreed limits, invoicing and support, requested through the contact form on the Platform. Where a Custom contract applies, it prevails over these Terms to the extent of any conflict; these Terms apply otherwise.

7.4 Limits. All Plans are subject to per-minute rate limits, concurrent-request limits, the distinct-place caps above, daily Unit caps, page-size and page-depth limits, and sign-up limits per network and per email address, as published in the Documentation. An Account that buys Credits without a subscription keeps the Free plan's limits on requests per minute, concurrent requests and distinct places per day until it has passed business verification or until 7 days after its first Credit purchase. These limits protect the stability of the Platform (clause 15).

7.5 Managing your Plan. You can switch between monthly and yearly Agent billing, cancel, and manage your payment methods and tax ids through the customer portal provided by our payment processor, Stripe. A switch from monthly to yearly billing takes effect at once and is prorated; a switch from yearly to monthly billing takes effect at the end of the year already paid.

7.6 What is charged. A call is charged only when it succeeds. Calls that fail, time out or are refused are not charged, and Units set aside for them are returned. Usage that happens outside a call (for example an Alert delivered to your webhook) is counted as published in the Documentation.

8. Credits

8.1 What Credits are. Credits are Units bought in advance at EUR 0.04 per Unit, excluding VAT, from a minimum purchase of EUR 20 up to a maximum of EUR 40,000 per purchase (EUR 4,000 per purchase in the first 7 days after your card is verified). Volume discounts apply at the time of purchase, as shown at checkout: 5% from EUR 100, 10% from EUR 200, 20% from EUR 500 and 30% from EUR 1,000. Credits can be bought with or without an Agent subscription. Card verification is required.

8.2 Automatic top-up. You may switch on automatic top-up, in which case we charge your card for the top-up amount you chose when your Credits fall below the threshold you chose. At most 3 automatic top-ups are made per day. If an automatic top-up fails we email you and do not retry it. You can switch automatic top-up off at any time.

8.3 Spending cap. On Agent, a spending cap limits the Credits that can be spent in a subscription period (the period shown in your Account), automatic top-ups included. The default is EUR 1,000 (25,000 Units) per period; you can change it on the Platform. When the cap is reached, further calls that would use Credits are refused and no automatic top-up is made until the next period or until you raise the cap; calls within your Agent usage windows continue. On a Custom contract with billed overage, the cap limits the overage. An Account without a subscription has no spending cap: it can only spend the Credits it has bought.

8.4 No post-paid billing. Usage beyond your Plan's windows is paid only from Credits you have already bought. We never bill you afterwards for usage. If you have no Credits, paid calls are refused.

8.5 No expiry. Credits do not expire while your Account is open. Unused Credits are forfeited when you close your Account or when we close it for breach, and are refunded when we close your Account under clause 19.3(a), withdraw the Products under clause 16.3 or change these Terms under clause 22.2.

8.6 Not money. Credits are not money, are not redeemable for cash except where these Terms provide for a refund, are not transferable between Accounts and carry no interest.

9. Payment, invoices and taxes

9.1 Payment. Agent subscriptions and Credits are paid by card through our payment processor, Stripe; our Stripe account, "Casafari API and MCP Platform", is held in the name of Casafari Spain S.L. By giving us a card you authorise us to charge it for the amounts due under your Plan and your Credit purchases, including automatic top-ups you have enabled. Custom contracts are paid against invoice within 30 days.

9.2 Failed payments. If a subscription payment fails we will email you and retry the charge. Your Account keeps working for 7 days from the first failure. If payment is not made within those 7 days, metered calls are refused until the overdue invoice is paid; place lookups and the account status check remain available. For Custom contracts paid against invoice, this clause applies only once an invoice remains unpaid 14 days after its due date.

9.3 Prices and VAT. All prices are shown and charged in euros excluding VAT. VAT is added at checkout where applicable, calculated by our payment processor on the basis of your billing address and any VAT id you give us. You are responsible for giving us a valid VAT id and billing address.

9.4 Invoices. We issue a legal invoice for each payment through our invoicing provider, Invopop, under the Spanish VERI*FACTU system, and email you when it is available. Invoices are kept for the period stated in the Privacy Notice.

9.5 Price changes. We may change prices for future subscription periods and future Credit purchases on 30 days' notice by email. Price changes never affect Credits already bought or a subscription period already paid.

9.6 Payment Links for AI agents and software. When a call cannot be completed because payment is needed — for example because the Free allowance is used up, Credits are exhausted, the spending cap has been reached, a card must be verified or an invoice is overdue — the Platform answers with a Payment Link to a Casafari payment page on the Platform instead of Results. The Payment Link is valid for 24 hours and is the same for every refusal of the same kind until it is used or expires. An AI assistant or other software receives the same Payment Link and may show it to you. Only a Member with the owner or billing role, signed in to the Platform, can act on a Payment Link; payment is made through Stripe Checkout. Once the payment has been processed, your software or assistant can retry the call.

10. Cancellation, renewal and refunds

10.1 Monthly Agent. You can cancel at any time through the customer portal. The subscription ends at the end of the month already paid; you keep access until then. No refund is given for the remainder of the month. After the subscription ends your Account continues without a subscription and any Credits remain usable.

10.2 Yearly Agent. The yearly subscription is paid upfront and runs for a full year. You can cancel at any time through the customer portal; the subscription then ends at the end of the year already paid and does not renew. No partial refund is given for the remainder of the year.

10.3 Automatic renewal. Agent subscriptions renew automatically for the same period at the then-current price unless cancelled before the renewal date.

10.4 Credits. Credit purchases are final once the Credits are added to your Account. Unused Credits are not refunded on cancellation of a subscription; they remain usable without one, subject to clause 8.5.

10.5 Refunds we choose to give. We may at our discretion refund or re-credit an Account, for example after a Platform fault. A discretionary refund does not create a right to future refunds. Any refund is made by a credit note against the original invoice; the credit note is issued as a rectifying legal invoice.

11. Licence and permitted use

11.1 Licence. Subject to these Terms and to payment of the applicable fees, Casafari grants you a personal, limited, revocable, non-exclusive and non-transferable licence, for the term of your Account, to: (a) call the Platform through the API and the MCP servers using your own Credentials, from your own software or from Connected Apps you have authorised; and (b) use the Results inside your own products, services, analyses and workflows, for your own business purposes, for the Storage Period in clause 12.

11.2 Automated access. Automated access is allowed through the API and the MCP servers with your own Credentials, within the rate limits and usage windows of your Plan, from scripts, software, agents or AI assistants. Scraping the website, getting around limits, and building a copy of the data from responses are not. In particular you must not: (a) scrape, crawl or otherwise extract content from www.casafari.com, platform.casafari.com, developers.casafari.com or any other Casafari website outside the API and MCP servers; (b) get around rate limits, usage windows, place caps, sign-up limits, the spending cap or any other limit, including by opening multiple Accounts, rotating Credentials or networks, or sharing Credentials; (c) build, by systematic querying or by accumulating Results, a copy or substitute of the Casafari database or of any Product, or a dataset intended to replace calls to the Platform, including by walking through the places of a market area by area.

11.3 Excluded uses. The licence does not include the right to: (a) resell, sublicense, publish, distribute, syndicate or otherwise make Results available to any third party, whether as raw data, as a feed, through your own API, or by embedding Results in a product whose main purpose is to give third parties access to Casafari data; (b) use Results, or allow anyone else to use them, to train, fine-tune or improve an AI model, or to build a dataset, index, model or product that competes with Casafari or any Product; (c) remove or alter any attribution, identifier or notice included in Results; (d) use Results for any unlawful purpose, including unlawful direct marketing or any use that breaches data protection law (see clause 13 for AgentGraph AI); (e) frame, mirror or republish the Platform or the Documentation.

11.4 What you can do with Results. You may: display Results to your own users inside your own application; combine Results with your own data; produce reports, valuations, summaries and analyses that incorporate Results; let a Connected App present Results to you; and show individual Results to your own clients in the course of your professional services, provided it is not systematic and the client does not receive bulk, ongoing or direct access to the Platform or to Results.

11.5 No other rights. Except for the licence above, nothing in these Terms gives you any right in the Platform, the Products, the Results, the Documentation or Casafari's databases, by implication or otherwise. Use outside the licence ends it (clause 19) and may infringe copyright and database rights.

12. How long you may keep Results

12.1 You may keep Results on your own systems, and use them within your own products as permitted by clause 11, for the Storage Period. When the Storage Period ends you must delete the Results, except (a) Results incorporated into a report, valuation, analysis or other work product you created during the Storage Period, which you may keep as part of that work product, and (b) Results you are required by law to keep.

12.2 Storage Period. The Storage Period is the time your Account is open, plus 30 days after it is closed, for all Plans. For AgentGraph AI Results the Storage Period is 12 months from the date each Result was delivered to you, or the end of the general Storage Period if earlier, and clause 13.5 applies.

12.3 Alerts delivered by webhook are Results and are subject to the Storage Period.

12.4 Results you keep remain subject to these Terms after your Account is closed. We may ask you to confirm in writing that Results have been deleted.

13. AgentGraph AI — verified businesses only

13.1 AgentGraph AI provides professional data about real estate agents and agencies in Germany, over MCP only. It is available only to Accounts that have passed business verification.

13.2 Verification. To apply you must give us your legal name, registration country, EU VAT id or company registration number, website, address and a description of your intended use. Verification is automatic where the EU VIES register confirms your VAT id and the registered name matches; otherwise Casafari staff review the application and may ask for more information. We may refuse or withdraw verification at our discretion and without giving reasons, in particular where the intended use is unclear, unlawful or outside clause 13.4(f).

13.3 Your declaration. By applying you confirm that the information is accurate, that you act in the course of your business, and that you will use AgentGraph AI only for the intended use you described. You must tell us before using it for a materially different purpose.

13.4 Your obligations as controller. The data in AgentGraph AI is personal data of the agents concerned. Once Results are delivered to you, you are an independent controller of that data and are responsible for complying with the GDPR and applicable national law in your use of it, including: (a) having your own lawful basis for each use; (b) complying with the rules on unsolicited commercial communications that apply to you and to recipients in Germany; (c) providing any information required by Article 14 GDPR to the individuals concerned, where you are required to; (d) honouring objections and opt-outs, and telling us (clause 1.2) if an individual objects to being included in AgentGraph AI, so that we can act on it too; (e) not combining AgentGraph AI data with other data to profile individuals beyond their professional role; (f) using AgentGraph AI data only for business-to-business purposes within the real estate sector — contacting agents and agencies in their professional capacity, market analysis, and partner or recruitment search — and never for bulk unsolicited messaging or for contacting individuals in a private capacity.

13.5 Storage and deletion. AgentGraph AI Results may be kept for 12 months from delivery (clause 12.2). You must delete them earlier if the individual objects, if we tell you that a record has been suppressed, or if your intended use ends.

13.6 We may suspend AgentGraph AI access immediately if we receive a complaint or have reason to believe it is being misused. AgentGraph AI also applies its own daily cap per Organisation.

14. Developer documentation (developers.casafari.com)

14.1 The Documentation is public. Anyone may read it; no account is needed.

14.2 Code examples. You may copy, adapt and use the code examples in the Documentation in your own software, for any purpose, without attribution. Code examples are provided as they are, without warranty.

14.3 Other content. You may quote short extracts of the guides, API reference and FAQ for the purpose of using the Platform (for example in your own internal documentation). You may not republish, mirror or redistribute the Documentation, scrape it, or use it to build a competing service.

14.4 The Documentation describes the Platform as it is at the time of publication and is updated from time to time; where it states Unit costs or limits, those are the figures that apply under these Terms (clause 23.3).

15. Acceptable use, limits and suspension

15.1 You must not use the Platform or the Documentation (a) in breach of any law; (b) to infringe anyone's rights; (c) to send malware, or to probe, scan or test the vulnerability of the Platform; (d) in a way that interferes with, overloads or degrades the Platform or other customers' use of it; (e) to misrepresent who you are or whom you act for; or (f) in breach of clauses 3, 11, 12, 13 or 14.

15.2 We use rate limits, concurrent-request limits, place caps, daily Unit caps, sign-up limits per network and per email address, card verification and Cloudflare Turnstile on browser sign-up to protect the Platform, and we monitor for patterns of use that indicate bulk extraction or the use of several Accounts to get around limits. You must not attempt to defeat these measures.

15.3 We may suspend or restrict Credentials, a Member, a Product or an Account, with or without notice, where we reasonably believe that (a) these Terms are being breached, (b) the Platform's security or stability is at risk, (c) a payment is overdue or a card payment has been disputed, or (d) we are required to by law. A disputed card payment (chargeback) or a fraud warning from our payment processor suspends the Account pending review by Casafari staff. We will tell you the reason as soon as we reasonably can and lift the suspension once the issue is resolved; Connected App authorisations revoked during a suspension are not restored automatically and must be re-authorised. Fees continue to accrue during a suspension caused by your breach.

15.4 Report abuse to us (clause 1.2). Not acting on a breach does not waive our right to act on later or similar breaches.

16. Availability and changes to the service

16.1 We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may suspend the Platform for maintenance, security or operational reasons, giving notice where practicable.

16.2 We may improve, change or add Products and features. We may change the Unit cost of an operation, the limits of a Plan or the Documentation on 30 days' notice by email or on the Platform, or immediately where needed for security or legal reasons. Changes that materially reduce what a paid Plan includes do not take effect for a period already paid.

16.3 We may withdraw a Product on 60 days' notice by email. If a Product is withdrawn, you may close your Account within 30 days after the withdrawal takes effect and we will refund the unused part of any paid subscription period and your unused Credits.

17. Intellectual property

17.1 The Platform, the Products, the Results, the Documentation and Casafari's databases, compilations, software, trade marks and logos are owned by Casafari or its licensors and are protected by copyright, database right and other intellectual property laws. They are licensed, not sold.

17.2 Casafari does not claim ownership of the underlying listing descriptions, images or other third-party content from which Results are derived; Casafari claims its rights in the selection, arrangement, enrichment, statistics and compilations it produces. Any use of third-party content remains subject to that third party's rights.

17.3 You own your software, your applications and the work product you create from Results, subject to Casafari's rights in the Results themselves.

17.4 If you send us feedback or suggestions, we may use them without obligation to you.

18. Warranties and liability

18.1 Nature of the data. Results are compiled by Casafari. We make reasonable efforts to keep them accurate and current, but we do not warrant that any Result is complete, accurate, current or fit for a particular purpose. Results are information, not advice; Casafari does not act as a real estate agent, valuer, broker or financial, legal or tax adviser, and you must make your own checks before relying on a Result in any decision.

18.2 "As is". Except as expressly stated in these Terms, and to the extent permitted by law, the Platform and the Documentation are provided "as is" and "as available" and all implied warranties are excluded.

18.3 What we do not exclude. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, wilful misconduct or gross negligence, or for any liability that cannot be excluded or limited under applicable law.

18.4 Excluded losses. Subject to clause 18.3, neither party is liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, arising out of or in connection with these Terms, however caused.

18.5 Cap. Subject to clause 18.3, Casafari's total liability to you arising out of or in connection with these Terms, in respect of all events in any period of 12 months, is limited to the greater of (a) the fees you paid to Casafari for the Platform in the 12 months before the first event giving rise to the claim and (b) EUR 100.

18.6 Your liability to us. You will compensate Casafari for losses, costs and claims we suffer because of your breach of clauses 3, 11, 12, 13, 14 or 15, because of claims by third parties arising from your use of Results, or because of non-payment. Subject to clause 18.3, your other liability to Casafari under these Terms is limited in the same way as in clause 18.5.

19. Term and termination

19.1 These Terms apply from acceptance until your Account is closed.

19.2 By you. You may close your Account at any time on the Platform (after signing in again to confirm it) or by writing to us (clause 1.2). Closing the Account cancels any subscription with effect from the end of the paid period (clause 10), switches off automatic top-up, revokes all Credentials and Connected App authorisations at once, so that access to the Platform ends on closure, and forfeits unused Credits (clause 8.5). A person who is the only owner of an Organisation with other Members must first appoint another owner or remove the other Members before closing their own user account.

19.3 By us. We may close your Account: (a) on 30 days' notice for any reason, in which case we refund the unused part of any paid subscription period and your unused Credits; (b) immediately if you materially breach these Terms and (where the breach can be remedied) do not remedy it within 10 days of notice; (c) immediately for breach of clauses 3, 11, 12, 13 or 15 or for non-payment; (d) after 30 days' email warning, if the Account has had no sign-in and no calls for 24 months and has no active subscription and no unused Credits.

19.4 Effect. On closure, Credentials stop working, Alerts stop, and the 30-day remainder of the Storage Period in clause 12 starts to run for any Results you still hold. We delete Account data as described in the Privacy Notice, keeping what we must for legal, accounting and dispute purposes (in particular billing and legal-invoice records). Clauses 11.3, 11.5, 12, 13.4, 13.5, 17, 18, 21 and 23 survive.

20. Privacy and personal data

20.1 How Casafari uses personal data about you and your Members as controller is described in the Casafari API and MCP Platform Privacy Notice at https://developers.casafari.com/legal/platform-privacy. The Privacy Notice is not part of these Terms, but we ask you to read it.

20.2 Casafari does not process personal data on your behalf as a processor on the Platform. Each party is an independent controller of the personal data it processes. A Custom contract may provide otherwise where processing on your behalf is agreed.

20.3 You must make sure that each Member you add to your Account has been told that Casafari will process their name, email address and activity on the Platform as described in the Privacy Notice.

20.4 Personal data contained in Results, in particular AgentGraph AI, is governed by clause 13.

21. Governing law and disputes

21.1 These Terms and any dispute arising out of or in connection with them are governed by the laws of Spain.

21.2 The courts of Madrid, the city in which Casafari has its registered office, have exclusive jurisdiction, without prejudice to any mandatory rule that gives jurisdiction to another court.

22. Changes to these Terms

22.1 We may change these Terms. We publish each new version on the Platform with its version number and effective date, and email the Account owner at least 30 days before a change that materially affects your rights or obligations takes effect, or sooner where required by law or for security reasons.

22.2 If you do not agree to a material change you may close your Account before it takes effect and we will refund the unused part of any paid subscription period and your unused Credits. Using the Platform after the effective date means you accept the new version.

22.3 The version of the Terms you accepted, and each later version, is kept and can be requested from us (clause 1.2).

23. General

23.1 Notices. We send notices to the email address of the Account owner. You send notices to Casafari at the registered office in clause 1.1. Electronic notices satisfy any requirement for writing.

23.2 Assignment. You may not transfer your Account or these Terms without our consent. We may assign these Terms to a Casafari group company or to a successor of the business on notice to you.

23.3 Entire agreement; order of precedence. These Terms, the Documentation (for Unit costs and limits) and, for Custom customers, the Custom contract are the whole agreement for the Platform. The Custom contract prevails over these Terms; these Terms prevail over the Documentation.

23.4 Severance; waiver; third parties. If a clause is held invalid the rest remains in force. A failure to enforce is not a waiver. Casafari group companies may enforce clauses that benefit them; no one else has third-party rights.

23.5 Language. These Terms are in English, and the contract is concluded in English.
